XM-Sirius: Still No End in Sight

Federal Communications Commission chairman Kevin Martin remained mum Thursday, when asked by reporters at a news conference about when he might begin circulating an item on the 334-days-and-counting merger of XM Satellite Radio and Sirius Satellite Radio.
Real work on crafting a compromise for conditions on the deal won’t begin in earnest until Martin’s staff produces a draft order and circulates it among the other four FCC commissioners. Even then, it will take at least three weeks for the FCC to come to some kind of agreement, if previous transactions are any indication.

The FCC’s deliberative pace in considering the deal hasn’t been matched by interested parties, however, which have been bombarding the agency with condition requests — ideas for merger conditions seem to be growing by the week.
Public interest groups have been pressing for conditions mandating price caps for a set time and channel set-asides for non-commercial broadcasters. They also like the idea of requiring XM/Sirius to set aside a certain percentage of channels for commercial leasing. That said, they haven’t necessarily jumped on board with a plan advocated by minority-owned private-equity firm Georgetown Partners, which wants a 20% channel capacity set-aside for a minority-owned company such as itself.
Last week, a group of influential congressmen told FCC commissioners that they should require XM/Sirius to make their service compatible with other consumer electronics, not just devices made by manufacturers with exclusive licensing agreements. They also want new XM/Sirius radios to also come equipped with HD radio capability — which would allow consumers to listen to free local radio stations which are broadcasting in high def.
On Wednesday, a group of attorney generals spent 45 minutes or so on the phone with FCC commissioner Jonathan Adelstein, a Democrat, about their concerns with the deal. Republican Rob McKenna, Washington State’s AG and Connecticut’s Democratic AG Richard Blumenthal joined assistant AGs from eight other states to press the commissioner to vote against the deal, or at the very least, place tough conditions on it similar to what the congressmen asked for last week.
“They have the feeling that the Justice Department didn’t pay proper deference to their concerns when (DOJ) issued its opinion,” Adelstein told reporters. The Justice Department approved the merger without conditions on March 24.
“I think it’s very important that the FCC after such dismissive treatment by the Department of Justice take extra consideration into account about the very legitimate concerns that the AGs are raising about the XM-Sirius merger,” Adelstein said.

It amazes me that they don’t care, I have four radios and it would save me a bundle if it were just one. Course I live in the country, so they say the hell with traveling country folk??
It seems to me that two conditions must be at work:
1. These tow FCC members have now been able to “acquire” mucho stock free…..or
2. They have not been “Greased” enough to make a decision

How can it be so obvious to so many that the real reason this merger has taken so long is that Clear Channel and the NAB have been PAYING these officials to drag their feet as long as possible, yet not one person in the press is willing to call them on it?

Somebody has to be getting paid off to keep this merger from happening. The Exxon-Mobil merger did not get this type of scrutiny. As an XM user only because that is what came installed my car, I do not have access to the NFL which is broadcast on Sirius. It will cost me much more to subscribe to both services than to one and get what I want. If they don’t let the merger go through, one or both Companies will fail and everyone is a loser.
I don’t understand why the FCC can stall the deal based on pricing packages since the SEC gave to go ahead. I also don’t understand how the Georgetown Partners feel entitled to 20% of the channels for free. It seems clear that the players at the FCC have been “Greased” as Bill suggests. Just not by Sirius/XM, rather by Georgetown Partners and the National Broadcasters Assoc.
I never paid much attention to Howard Stern. But I think he’s right about the FCC, They Suck, always a few stick it to the mass’es.
Only among our U.S leadership can something so simple and straight forward be so screwed up…
It’s time for XM and Sirius to ask their listeners on every channel to contact the FCC and say “I’m the consumer of satellite radio and I want this merger done.”

Hey! Back Off! When Georgtown Partners visit, with Jessie in tow, they bring cash. When the NAB and Clear Channel show up they promise million $ lobbying contracts for me and the other commissioners when our terms expire. So stuff it! Do you really think I care if SIRI and XM wind up like Enron or World Com? I will be taken care of. Look at Ashcroft and Thornberg. You think they are not raking it in. Once we give Georgetown 20% of SATRAD I think I will give them 20% of Dish and Direct TV and 20% of Verizon and AT&T. Why would shareholders care about a measly 20%? Due Process? We need to get a leader into the FCC that can make a decision. What if they had to really make a big decision on something that would help the public - the public would suffer. Can somebody tell me what is going on here? Why does the FCC want to stop something that is good for consumers? I do not understand what the delay is. Giant telcomms are going to merge and are they going to get this level of attention and delay? The FCC is broke and not working for the public any more. They are working for special interests and this is the worst part of democracy. In theory everyone has a voice but money has a greater voice. I take comfort in the fact that the NAB can not stop the decline and elimination of broadcast radio as we know it today. What they put on the airwaves amounts to air pollution. They have nothing new to offer. But XM has brought me a whole fresh set of artists to listen to and I really enjoy it and the $$ I pay I pay gladly to get rid of those obnoxious commercials. It is not in my interest to see this deal held up any longer. I want parts of both services right now and don’t want to have to pay a lot of money to get it. The FCC must not consider me a part of the public because I am not getting it. I also want to get TV stations out of my market on Directv but that is another FCC problem that fails to serve the public but it sure does serve the interests of the local broadcasters and I am sure the NAB had nothing to do with that problem. I think Clear Channel should contribute 20% of their broadcasting to Georgetown or whoever Jesse thinks is appropriate. They obviously have the money unless they’ve had to pay it all to whoever is holding this deal up.

The only time that it is properly used as a noun is in a titular sense, as in a general in the army (or generals, if there are more than one). Here the noun is attorney (or attorneys, if there are more than one)…it’s a common faux pas, but one with a college education should know better. I am an XM user. I have written letter after letter to FCC, congressmen and senators. Have been blown off eatch time. This is not about the FCC, who are just being intimidated by NAB and the legislators who pay them. I have no power, but could someone with some power help out a little here. It has never been so clear that the American citizens and consumers have absolutely no voice left to issues that affect their wellbeing. I can’t believe that this is happening in America. and over something so mundane and inconsequential. this is a dog and pony show. We have failed miserably.
“Where is the outrage?” Why is this only getting coverage in the Deal Journal. I have been a WSJ online subscriber for a long time, and each time a story about this deal is mentioned, the comments are pages long. The support for this deal is overwhelmingly positive in the comments. The ONLY people against this deal are political lawyers, politicians, and NAB. HMM, i wonder why they want terrestrial radio to continue on???

The FCC is going against what America is about. We the people want these two companies to merge. If Sirius raises the price of service we the people will not engage in contracts and Sirius will not be profitable. We the people do not need the government to protect us from our own free entreprise business model. There is no monopoly. Sirius and XM are not the only means for Americans to listen to music. The FCC is going beyond the scope of jurisdiction for which it was origally designed. We the people need our existing government to intervene and regulate the strength of itself. SEVERAL WEEKS AFTER THE DOJ DECISION ONLY NOW YOU MENTION THAT BASED ON OLDER FCC FUNCTIONS, IT TAKES AT LEAST 3 WEEKS FOR A DRAFT TO BECOME A DECISION.
THIS INFO IS VERY SIGNIFICANT FOR ALL THOSE WAITING FOR THIS MERGER AND YOU SHOULD HAVE LET PEOPLE KNOW FROM DAY ONE WHAT HAPPENS NEXT.
NOW AT LEAST WE KNOW THAT AFTER A DRAFT IS ON THE TABLE WE COULD EXPECT A DECISION IN ABOUT A MONTH OR SO.

While you are defending Martin and saying it’s the Dems holding this up, keep in mind that Martin has the power to say enough and take a vote of a majority. He has said that he LIKES a UNANIMOUS decision (but i don’t think it’s required by statute). Therefore, we can construe from his statement that he has chosen NOT to move forward and put an end to the already OVERDUE decision. That makes him equally accountable for the delay in this process. Does anyone disagree?
I don’t see anyone in this blog supporting the states contesting this merger because it is bad for consumers. If you’re out there can you explain to me why you support this because quite frankly, I don’t get it.

HOLD ON, If a commissioner, brings up certain points that he feels have not been gone over to his liking, he can refuse to vote. Now can Martin force a vote, yes, then the commissioner that was not heard would have the right to take that decision to the courts. He can also creat more trouble for Martin in a democratically controled congress. As a matter of fact, IMO if congress was controled by republicans right now Martin would have called for a vote a long time ago. Does That make him a wimp, maybe. But why should he creat trouble for himself. When if he follows all the processes the same thing he wants happens and he takes no heat from the people that would be able to cause it. Lets face it, would you want to bring trouble at work from your boss for something that really does not benifit you. Also, when it is approved, are you going to care if Martin is brought in front of a oversite commitee. Will you still be calling congress to say this is bull, somehow I dought it. My point is people can say it is the whole FCC that is holeing this up all they want, that still does not make it true. The fact is if the two democrats would just shut up and say ok lets vote, this would be over with a approval, of a 3 to 2 vote.
HOLD ON, I have no dought that when Martin said last Oct. he saw a vote on this happening by the end of the year, he at that time was for it. He has been fighting this out for the last 6 months with the 2 democrats on the board. Lets not forget that the last vote that happened on a 3 to 2 vote to make it easyer for TV., radio, and Print to intermerge, that democrats in a democratically controled congress tried to withdraw funding for the FCC. It failed, but was extra grief for Martin. Why did that happen, well because the 2 democrats on the FCC board went crying to congress. You want to bitch about the vote not happing, dont do it to Martin who wants it already, do it to people like commissioner Adelsten who thinks this still needs to be looked at more.

Because this journal claims that there is still no draft produced and when it does it will take 3 to more weeks in order to become a decision.
Do you have any facts that support a different story?
Everybody should know the FCC email address by heart, and Email about a dozen times a day!!
Please put this address up on every blog you go to, once a day every day for a month, and tell every stockholder here is their chance to blast the FCC.

JIM, look at the bottom of the article, Adelstein basically says it himself, when refering to what the DOJ let through.
Tigerman, It has been the history of the FCC that these big merger decisions have never been put on the “Items in Circulation” list, and have been surprises. Is that to say they will not to it this time with absolute certainty, no. Look at it this way, the FCC has never gone against what the DOJ has decided, does that mean it will not happen this time, no but I would not bet that they would go against the DOJ this time ether. What I am saying is it is the history of what the FCC has done. Read what George Reed Dellinger has to say about this, He is a Washington analyst on mergers that deal with regulatory boards.

Even though it means that this journal is wrong. It amazes me though how they mention that based on previous mergers there will be a draft around for at least 3 weeks before a decision is reached.
It is not logical though to have such a warning after months of secrets.
I will go with your estimate that this will be a surprise anouncement.
Tigerman, I believe the Journal is stating FCC general policy. For most it is the case, but not for ones of this magnitude. The FCC has generally made their decisions after the market is closed also, but that may not happen this time, when (what time in the day) is a hard call for this one. But if I HAD to bet, I would say after 4:00 PM.

Most Americans are sick aand tired of the perfidy of the FCC. The Justice Dept has approved the merger. Let’s get on with it. There are too many private interests now mudddying up the water. I have had satellite radio for over 2 yrs now and I’m afraid if this merger doesn’t get settled pronto, then one or both of the companies will have to go out of business and I’ll have no service. PLEASE git er done!
Dick, I would not worry about that. The worst that would happen is they would file for Chapter 11, then come bake stronger then before, or move from 11 to 13 then be bought up by some other company. There are to many assets that can only be used for radio, plus the spectrum alone is worth alot. However the new owner may find it better to move from a subcriber to commercial base investment.

JIM, I agree but the ruling party can only appoint 4 out of 5 members on the FCC board. But like I have said before if congress was controled by the republicans, Martin would have voted on this a long time ago. I also now agree with what you said a few months ago about them being afraid of Congress.
